Regulatory agreements
Pursuant to Article L22-10-13 of the French Commercial Code, the regulatory agreements entered into by Aéroports de Paris are set out below:
Amendment no. 2 to the Equity Loan Agreement entered into by the French State, the CDG Express Infrastructure Manager, Caisse des Dépôts et Consignations, SNCF Réseau, BNP Paribas and Aéroports de Paris
Nature and scope: Amendment amending the equity advance contract in favour of the CDG Express infrastructure management company.
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an amendment no. 2 to the equity advance agreement entered into between the State, the CDG Express Infrastructure Manager company, Caisse des Dépôts et Consignations, SNCF Réseau; BNP Paribas and Aéroports de Paris, on 21 February 2019, having been authorised by the Board of Directors at its meeting on 21 November 2018, which provides for a total commitment by the partners SNCF Réseau, CDC and ADP Group of €402m, €145m for ADP, to be paid at the end of 2023. The French State, as State Lender, and BNP Paribas, as agent for the CRFP (Equity Bridge Facility), are parties to the agreement.
The purpose of this amendment, signed on 5 December 2024, is to adjust the commissioning date and maturity date from the end of 2023 to the beginning of 2025.
This amendment is the result of the State's decision, notified on 2 July 2019 to the CDG Express infrastructure manager, to postpone the entry into service of the line, initially scheduled for 30 November 2023, to 1 December 2025.
Justifications for the agreement: The Board of Directors has justified this agreement by the interest it presents for Aéroports de Paris in enabling the CDG Express, a major project for the company, to progress.
Amendment no. 1 to the credit agreement concluded between Aéroports de Paris and the CDG Express infrastructure management company.
Nature and scope: Amendment amending the credit agreement entered into between Aéroports de Paris and the company Gestionnaire d'infrastructure CDG Express, the purpose of which is to set out the conditions for the payment of a repayable advance to the company Gestionnaire d'Infrastructure CDG Express, in the form of a non-revolving credit agreement for 150 million euros.
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an amendment No. 1 to the credit agreement entered into between Aéroports de Paris and the company Gestionnaire d'infrastructure CDG Express on 21 February 2019, after having been authorised by the Board of Directors at its meeting on 21 November 2018, which provides as follows

Amendment no. 5 to the joint project management agreement between Société des Grands Projets and Aéroports de Paris concerning the construction of the metro stations on lines 14 and 18 at Paris-Orly airport

Nature and scope: Amendment to compensate Aéroports de Paris for additional costs incurred in monitoring the works.
Terms: At its meeting on 16 October 2024, the Board of Directors authorised the conclusion of an agreement, signed on 22 November 2024, consisting of Amendment No. 5 to the joint project management contract for the construction, at Paris-Orly airport, of a station to accommodate two metro lines and airport facilities, concluded on 16 July 2015 after having been authorised by the Board of Directors on 17 June 2015.
The purpose of this amendment is to remunerate the additional costs resulting from changes to the programme and timetable and to increase the amount of funding for the works by the SGP for the project to €289.8 million excluding tax, broken down into the works for the station project, which remains fully funded by the SGP (increased to €187.6 million excluding tax), the Parking indemnity (unchanged at €62.4 million excluding tax) and Aéroports de Paris' fees for the station (increased to €39.8 million).
Justifications for the agreement: The Board of Directors justified this agreement by the interest it presents for Aéroports de Paris in developing the attractiveness of Paris-Orly airport and significantly improving its access conditions and optimising the development of Paris-Orly by benefiting from the reimbursement, by the SGP, of the costs resulting from these modifications and the remuneration of the project management and project management services.
Renewal of an agreement concluded with the Presidency of the Republic for reception services for French and foreign dignitaries
Nature and scope: Agreement concluded with the Presidency of the French Republic, the purpose of which is to determine the conditions under which Aéroports de Paris provides reception services and ancillary services for VIPs designated by the Presidency of the French Republic in the reception pavilions or VIP lounges at Paris-Charles de Gaulle and Paris-Orly and ancillary services.
Terms: This agreement was authorised by the Board of Directors at its meeting on 17 November 2021 and was signed on 29 November 2021 for a period of one year, renewable three times. The agreement stipulates that the rates applied are on average 30% lower than the general public rates and that the maximum amount of the contract is €139,000 excluding VAT for a period of one year.
On 11 October 2023, the Board of Directors authorised the renewal of this agreement for a further year.
At its meeting on 16 October 2024, the Board of Directors authorised the renewal from 28 November 2024 to 29 November 2025.
Justifications for the agreement: This agreement enables ADP to comply with its obligations by setting fair prices that cover the cost of services.
Renewal of an agreement with the Ministry of the Interior on the provision of devices using PARAFE processing
Nature and scope: Agreement relating to the provision of devices using PARAFE processing (rapid crossing of external borders).
Terms: At its meeting on 14 December 2016, the Board of Directors authorised the conclusion of an agreement formalising the partnership between Aéroports de Paris and the Ministry of the Interior for the PARAFE airlock renewal and deployment programme.
This agreement, signed on 4 January 2017 for a period of 5 years, tacitly renewable for the same period, covers the conditions of implementation, communication, governance and financing of the programme. It should be noted that Aéroports de Paris decided to assume the entire financing of the PARAFE airlocks, considering that this programme was in the general interest both from the point of view of Aéroports de Paris and that of the State, and that it strengthens the attractiveness of the platforms.
This agreement was renewed for a period of 5 years following authorisation by the Board of Directors at its meeting on 16 February 2022.
Renewal of a framework agreement concluded with the Directorate of Air Navigation Services (‘DSNA’) pursuant to Article 36 of the specifications of Aéroports de Paris
Nature and scope: Definition of the various types of services that Aéroports de Paris provides pursuant to Article 36 of its specifications, on a transitional basis to the Directorate of Air Navigation Services (‘DSNA’) as well as the technical, operational, legal and financial terms and conditions under which these services are provided.
Terms: At its meeting on 28 June 2007, the Board of Directors authorised the signing of an agreement with the French State. This agreement was signed on 27 July 2007, with retroactive effect from 1 January 2007. It defines the nature of the services and the technical, operational, legal and financial conditions under which these services will be provided. These include the provision of real estate assets, supplies (electricity, heating, fluids), services (telecommunications, material, administrative and intellectual assistance) and general training.
Aéroports de Paris is remunerated according to the costs incurred for the various services.
This agreement is for a period of fifteen years, tacitly renewable once for a further fifteen years.
At its meeting on 16 February 2022, the Board of Directors authorised its renewal until 31 December 2036.
Agreement relating to the operation of tourist information points known as ‘espaces tourisme’ at Paris-Orly and Paris-Charles de Gaulle airports
Nature and scope: Agreement setting out the financial and other terms and conditions for operating the tourism information points at Paris-Charles de Gaulle and Paris-Orly airports.
Terms: At its meeting on 18 December 2024, the Board of Directors authorised the conclusion of an agreement, signed on 19 December 2024, setting out the terms and conditions for the operation of the tourism areas at Paris-Orly and Paris-Charles de Gaulle airports. Aéroports de Paris undertakes to finance the information and reception aspects of these areas to the tune of €1,6000,000 per year; to raise the profile of the tourism areas and make its airport information tools available.
The Ile-de-France Region is contributing €2,500,000 a year to the financing of the areas.
Reasons for these agreements: The Board of Directors has justified this agreement by the interest it represents for Aéroports de Paris to equip itself with reception facilities within the terminals co-financed by the Ile-de-France Region.
Agreement with the French State (Ministry of the Interior) on the loan of premises for use by the Prefecture's departments at Paris-Le Bourget airport
Nature and scope:Loan agreement for the use of premises free of charge.
Terms: At its meeting on 15 February 2024, the Board of Directors authorised the conclusion of this agreement, which was signed on 9 October 2024.
The purpose of the agreement is to provide the Préfecture de Police with premises located in building 108 - Zone envoi at Paris-Le Bourget airport. This provision is temporary until 31 October 2024
Justifications for the agreement: The Board of Directors justified this agreement by the interest for Aéroports de Paris in offering users a local branch of the Préfecture de Police and contributing to the smooth running of Paris airports during the Olympic Games by avoiding travel to other locations.
Amendment no. 2 to the Interface Contract between Aéroports de Paris, the CDG Express Infrastructure Manager and SNCF Réseau
Nature and scope: Amendment to the CDG Express constructor interface contract.
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an amendment no. 2 to the constructor interface contract signed on 8 February 2019 between Aéroports de Paris, SNCF Réseau and the CDG Express infrastructure management company. The purpose of this amendment, signed on 30 October 2024, is to shift the dates of the key milestones in view of the postponement of the CDG Express commissioning date to early 2027.
Justifications for the agreement: The Board of Directors justified this agreement by the interest it represents for Aéroports de Paris in enabling the CDG Express, a major project for the company, to move forward.
Amendment No. 2 to the Design-Build Contract between Aéroports de Paris and the company Gestionnaire d'infrastructure CDG Express
Nature and scope: Amendment to the CDG Express design-build contract.
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an amendment no. 2 to the design-build contract concluded between Aéroports de Paris and the CDG Express infrastructure management company on 8 February 2019. The purpose of this amendment, signed on 30 October 2024, is to increase Aéroports de Paris' remuneration to €233 million and to shift the dates of the key milestones in view of the postponement of the CDG Express commissioning date to early 2027.
Justifications for the agreement: The Board of Directors justified this agreement by the interest it represents for Aéroports de Paris in enabling the CDG Express, a major project for the company, to move forward.
Agreement with Ile-de-France Mobilités to finance an Eco-Station-Bus at Paris-Orly
Nature and scope: Agreement setting out the terms and conditions for the payment of a subsidy for the construction of an Eco-Station-Bus at Paris-Orly.
Terms: At its meeting on 20 December 2023, the Board of Directors authorised the conclusion of an agreement, signed on 17 May 2024, to determine the terms and conditions for the payment of a grant of up to €3,689,001 for work to build an Eco-station-Bus at Paris-Orly airport.
Justifications for the agreement: The Board of Directors justified this agreement by the fact that it is in the interest of Aéroports de Paris to contribute to the development of the attractiveness of Paris-Orly airport, to the improvement of its access conditions and to the optimisation of its development by benefiting from the financing of part of the cost of the works.
Agreement with Ile-de-France Mobilités to finance the construction of a two-way cycle path between the Ibis crossroads and terminal 3 at Paris-Orly airport
Nature and scope: Agreement setting out the terms and conditions for the payment of a subsidy for the construction of a cycle path at Paris-Orly airport.
Terms: At its meeting on 20 December 2023, the Board of Directors authorised the conclusion of an agreement, signed on 17 May 2024, to determine the terms and conditions for the payment of a grant of up to €635,537 for the work to create a two-way cycle path between the Ibis crossroads and terminal 3 at Paris-Orly airport.
Justifications for the agreement: The Board of Directors justified this agreement by the fact that it is in the interest of Aéroports de Paris to contribute to the development of the attractiveness of Paris-Orly airport, to the improvement of its access conditions and to the optimisation of its development by benefiting from the financing of part of the cost of the works.
Amendment no1 to the contract concluded with the Presidency of the Republic for the provision of reception services for French and foreign dignitaries at the airport and related services
Nature and scope: Amendment to the contract with the Presidency of the French Republic for the reception of French and foreign dignitaries at the airport and related services.
Terms: At its meeting on July 23, the Board of Directors authorized the conclusion of this agreement, signed on July 24, 2024. The purpose of this amendment is to increase the maximum order value for services provided by the services of the Presidency of the Republic from €139,000 excluding VAT to €300,000 excluding VAT.
Justifications for the agreement: The Board of Directors justified this agreement by the fact that it enabled Aéroports de Paris to comply with its obligations by setting prices that were fairly valued and accepted by the services of the Presidency of the Republic, thus covering the cost of the services provided.
Amendment no1 to the contract concluded with the Ministry of Europe and Foreign Affairs for the provision of reception services for French and foreign dignitaries at the airport and related services
Nature and scope: Amendment to the contract with the Ministry of Europe and Foreign Affairs for the reception of French and foreign dignitaries at the airport and related services.
Terms: At its meeting on May 21, 2024, the Board of Directors authorized the conclusion of this agreement, which was signed on May 22, 2024. The purpose of this amendment is to extend the contract by three months and to include the Salons de Réception in its scope.
Justifications for the agreement: The Board of Directors has justified this agreement by the fact that it enables Aéroports de Paris to comply with its obligations by setting prices that are fairly valued and accepted by the Ministry of Europe and Foreign Affairs, thereby covering the cost of services.
Agreement with the French Ministry of Europe and Foreign Affairs for the provision of hospitality services for French and foreign dignitaries at the airport and related services.
Nature and scope: Public contract between the Ministry of Europe and Foreign Affairs and Aéroports de Paris for VIP hospitality and related services.
Terms: At its meeting on July 23, 2024, the Board of Directors authorized the conclusion of this agreement, which was signed on July 24, 2024. This agreement defines the conditions of performance and prices for services provided by Aéroports de Paris SA for the benefit of the Ministry of Europe and Foreign Affairs at Paris-Orly airport (Pavillon d'honneur; Salon 500) and at Paris-Charles-de-Gaulle airport (Pavillon de réception; Salon 200; Salon de réception). The rates applied are on average 65% lower than the general public rates. These special rates cover Aéroports de Paris' costs.
Justifications for the agreement: The Board of Directors motivated this agreement by the need to enable Aéroports de Paris to comply with its obligations, by setting prices that are fairly valued and accepted by the Ministry of Europe and Foreign Affairs, and which cover the cost of the services provided.
Lend-lease agreement with the French government (Ministry of the Armed Forces) for the occupation of a parking space at Paris-Le Bourget airport
Nature and scope: Loan contract for free use of a parking space.
Terms: At its meeting on May 21, 2024, the Board of Directors authorized the signature of this agreement on May 30, 2024. The purpose of the agreement is to provide the Commander of the Ministry of the Armed Forces' Île-de-France defense base with a parking space at Paris-le Bourget airport, to enable him to deploy elements of the Airborne Security Protection System (DPSA) and thus contribute to the safety and security of the July 14th parade and the Olympic and Paralympic Games. This provision is for a temporary period running from July 8 to September 15, 2024.
Justifications for the agreement: The Board of Directors motivated this agreement by Aéroports de Paris' interest in guaranteeing the safety of events organized during the period running from July 8, 2024 to September 15, 2024 in Paris.
Agreement with the Ile-de-France Region for financial support for the construction of a floating barge on the Quai d'Austerlitz
Nature and scope: Agreement setting out the terms and conditions for the payment of a subsidy for the construction of a vertiport consisting of a barge connected to the Quai d'Austerlitz in Paris.
Terms: At its meeting on 24 January, the Board of Directors authorised the conclusion of an agreement, signed on 6 February 2024, the purpose of which is to determine the terms and conditions for the payment of a grant of up to €1,000,000 for the construction of the Austerlitz vertiport.
Justifications for the agreement: The Board of Directors justified this agreement on the grounds that it is in the interest of Aéroports de Paris to benefit from a financial contribution for the development of electric air mobility, which also encourages the growth of all associated uses, whether logistical, medical or passenger transport, to test and operate the vertiport, which contributes to the development of air mobility solutions in an urban environment.
Agreement concluded with the State relating to the operation of the Paris-Austerlitz aerodrome (Vertiport) between Aéroports de Paris and the State, the Minister responsible for Civil Aviation
Nature and scope: Agreement concluded pursuant to Article L.6321-3 of the French Transport Code relating to the Paris-Austerlitz aerodrome (Vertiport) between Aéroports de Paris and the State, the Minister responsible for Civil Aviation.
Terms: At its meeting on 21 May 2024, the Board of Directors authorised the conclusion of an agreement, signed on 4 July 2024, the purpose of which is to determine the terms and conditions for the development, maintenance and management of the vertiport used exclusively for the arrival, departure and development of eVTOLs.
This agreement stipulates that operating costs will be covered by airport charges, that Aéroports de Paris will receive the proceeds of taxes of all kinds allocated to the facility and that security-related costs will be covered by the financing of safety and security missions.
Justifications for the agreement: The Board of Directors justified this agreement by the interest it represents for Aéroports de Paris to experiment with and operate the vertiport, which contributes to the development of air mobility solutions in an urban environment.
Agreement concluded with Gares & Connexions and the CDG Express management company to make two CDG Express lifts available free of charge for commissioning
Nature and scope: Agreement for the early provision of lifts
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an agreement, signed on 23 July 2024, relating to the terms and conditions for the early provision to Gare & Connexion of two lifts at the future CDG Express station.
The agreement for the temporary provision of two lifts to Gares & Connexions sets out the terms and conditions of this early provision of lifts on a temporary basis and free of charge, and provides a guarantee for Aéroports de Paris with a view to obtaining their subsequent transfer of ownership to the CDG Express operator. The agreement expires on 31 December 2024.
Justifications for the agreement: The Board of Directors justified this agreement by the interest it presents for Aéroports de Paris to improve passenger reception during the period of the Olympic and Paralympic Games.
Amendment to the partnership agreement relating to the operation of the FILEO service signed with Ile-de-France Mobilités, the Val d'Oise département, the Seine et Marne département and the Etablissement Public Territorial Terres d'Envol, the Roissy Pays de France urban community with the company Kéolis Mobilité Roissy
Nature and scope: Amendment to the partnership agreement relating to the operation of the Filéo bus service.
The purpose of this amendment is to change the service provided by the Filéo line and to include the Communauté d'Agglomération Roissy Pays de France (Roissy Pays de France Conurbation Community) in the partnership and benefit from the latter's funding of the service.
The agreement was not submitted to the Board of Directors for prior authorisation as it did not constitute a regulated agreement at the time it was signed. In fact, the Chairman of Île-de-France Mobilités was not a censor of Aéroports de Paris at the time.
Terms: At the meeting of 23 July 2024, the Board of Directors authorised the conclusion of this amendment signed on 5 August 2024.
Justifications for the agreement: The Board of Directors justified this agreement by the interest for Aéroports de Paris in improving access conditions for employees to Paris-Charles de Gaulle airport by benefiting from partner financing.
Rider to an agreement concluded with the State for the implementation of the revitalisation obligation in the context of the collective severance agreement
Nature and scope: Agreement to extend the duration of the revitalisation contract in application of the collective severance agreement.
Terms: At its meeting on 23 July 2024, the Board of Directors authorised the conclusion of an agreement, signed on 22 August 2024, consisting of an amendment extending the term of the agreement entered into with the State for the purpose of implementing the revitalisation obligation in the context of the collective severance agreement.
In order to continue the local application of the national framework agreement relating to the Orly employment basin, which expires on 14 December 2024, and to extend this local application to enable the completion of actions financed by Aéroports de Paris, the rider extends the duration of the revitalisation agreement by 10 months.
Justifications for the agreement: The Board of Directors justified this agreement by the interest it presents for Aéroports de Paris to enable it to comply with its legal obligations within the framework of measures to ensure the company's long-term future.
Agreement concluded with the Ministry of Environmental and Sustainable Transition, the French Civil Aviation Authority (DGAC), on the exchange of land and buildings
Nature and scope: Agreement for the exchange of land and buildings concluded between Aéroports de Paris and the State (Ministry of Environmental and Sustainable Transition, French Civil Aviation Authority (DGAC)).
Terms: At its meeting on 28 June 2012, the Board of Directors approved the conclusion of an agreement, signed on 2 November 2012, on the terms and conditions for the transfer of land and buildings for which the State (DGAC - French Civil Aviation Authority) had no further use, to be reincorporated into the property of Aéroports de Paris and the transfer of land and buildings belonging to Aéroports de Paris to be incorporated into the property of the State.
At the meeting on 14 October 2015, the Board of Directors approved the conclusion of an amendment to this agreement, signed on 17 December 2015, for the purpose of redefining the buildings and land affected by this exchange.
These assets, buildings and land, are located in the south-eastern part of Paris-Orly Airport.
The transfer of these assets may only occur if all the following conditions precedent are met:
● the competent authorities waive their pre-emptive rights
● the Property Department agrees with the financial valuation of the entire land transaction
● the State (DGAC) abandons and declassifies its public domain over all the land and buildings, the sale of which is covered by this agreement
● the State (DGAC – French Civil Aviation Authority) authorises Aéroports de Paris to surrender two plots used for kennels located in the "blue area" of the airport, in accordance with Article 53 of Aéroports de Paris general terms
● all the necessary reports (asbestos, energy performance diagnosis, termites) for the sale of building 461 module A6/B6 are obtained.
These conditions precedent having been satisfied, the exchanges of land and buildings were notarised on 5 December 2023, transferring ownership of all the aforementioned assets.
On the basis of valuations carried out by France Domaine for the departments of Essonne (91) and Val-de-Marne (94), the French State and Aéroports de Paris have agreed that these exchanges have an economic value of €1,242,500 for the assets exchanged by the State and €2,242,540 for the assets exchanged by Aéroports de Paris, and that no balance will be payable.
Justifications for the agreement: The Board of Directors’ justification for this agreement is that it is in Aéroports de Paris' interest to exchange land and buildings of equivalent value in order to create an urban boulevard known as “Barreau d’Athis-Mons” that will form part of the Paris-Orly Airport southern bypass, linking the RD 118 with the RD 25E.
Amendment No. 3 to the Co-Ownership Agreement entered into on 16 July 2015 between Société du Grand Paris and Aéroports de Paris on the construction of a station to accommodate Metro Lines 14 and 18 at Paris-Orly Airport
Nature and scope: Société du Grand Paris (SGP) and Aéroports de Paris signed a Co-Ownership Agreement on 16 July 2015 for the construction at Paris-Orly Airport of a station to accommodate two Metro lines and airport infrastructure. This agreement was approved by the Board of Directors on 17 June 2015.
The cost of the project financed by SGP was estimated at €178 million excluding tax.
An initial amendment was signed on 6 March 2017 following Board of Directors approval on 22 February 2017, bringing the total amount of SGP financing for the works to €195 million excluding tax (€132.8 million excluding tax for the station and €62.4 million for the car park).
An amendment No. 2 was signed on 8 December 2020 following Board of Directors approval on 24 June 2020, raising the total amount of SGP financing for the works to €224 million excluding tax in order to take account of changes to the project and the postponed commissioning of Line 18 as decided by the Government on 22 February 2018.
Terms: An amendment No. 3 was signed on 2 August 2022 to increase the total amount of SGP financing for the works to €245 million excluding tax and to allow Aéroports de Paris to be compensated for the additional costs incurred by the company carrying out the work as a result of changes to the project requested by the SGP.
Justifications for the agreement This agreement enables Aéroports de Paris to develop the attractiveness of Paris-Orly Airport, improve the airport's access conditions and optimise airport development through the construction of the station, its connection to the terminals and the reconstruction of parking spaces that have been removed, while at the same time benefiting from the reimbursement by SGP of the costs of the works and the remuneration, by SGP, of the prime contracting and ownership services provided by Aéroports de Paris.
Agreement with the French Ministry of Ecological Transition and Territorial Cohesion - Direction Générale de l'Aviation Civile, relating to the conditions for the provision of built or unbuilt buildings and private parking spaces.
Nature and scope: Agreement with the French Ministry of Ecological Transition and Territorial Cohesion - Direction Générale de l'Aviation Civile (DGAC) to set, in application of article 43-II of Aéroports de Paris' specifications, the rebates on rents paid in return for the provision of land, buildings, premises and parking spaces belonging to Aéroports de Paris.
Terms: This agreement was authorized by the Board of Directors at its meeting of December 14, 2022 and was signed on July 28, 2023 for a period of 5 years. It defines the rebates applied to rents paid by the DGAC as follows:
- 40% rebate on terminal rents,
- 20% discount on non-terminal rents,
- 10% discount on land rents,
- 10% allowance on building-related parking,
100% rental charges, with 6% management fees,
Payment of VAT and other taxes (notably property and office taxes in the Paris region),
Annual indexation of rents in line with ILAT (Indice des Loyers des Activités Tertiaires).
Justifications for these agreements: The reasons given by the Board of Directors for this agreement are that it is in the interest of Aéroports de Paris to contribute to the smooth running of the Paris airports through the performance of the public service missions carried out by the DGAC, while complying with Aéroports de Paris' obligation to make available to the French State, under the conditions set out in article 43-II of its specifications, built or unbuilt buildings belonging to it and occupied by State services for the purposes of airport operations.
Amendment no1 to the memorandum of understanding setting the conditions for a partnership in the Paris Region with a view to offering commercial and demonstration flights during the Paris 2024 Olympic and Paralympic Games
Nature and scope: Aéroports de Paris and RATP signed a memorandum of understanding on April 23, 2020 setting out the terms of a partnership in the Ile-de-France region with a view to offering commercial and demonstration VTOL (Vertical Take-Off & Landing) flights during the Paris 2024 Olympic and Paralympic Games (hereinafter “the Memorandum”). In particular, the parties studied the possibility of setting up vertiports in Paris and on airport structures operated by Aéroports de Paris in the Ile-de-France region.
The Protocol was not submitted to the Board of Directors for prior authorization, as it constituted a free agreement within the meaning of article R225-39 of the French Commercial Code and the Charter on regulated agreements adopted by the Board of Directors at its meeting on December 11, 2019. This agreement had no financial implications.
Following a change in strategy, RATP has asked Aéroports de Paris to take over the project management of the Paris-Austerlitz vertiport, with RATP assisting with the design and construction work.
As a result, the Protocol has been amended to allow for the transfer of project management for the construction of the vertiport to Aéroports de Paris, which will become the owner on completion of the work.
In view of its purpose, this protocol has been submitted to the Board of Directors for prior authorization.
Terms: This amendment was authorized by the Board of Directors at its meeting of March 29, 2023 and was signed on April 14, 2023 by Aéroports de Paris. It sets out the terms and conditions for the transfer of project management from RATP to Aéroports de Paris for the construction of the Paris-Austerlitz vertiport. Aéroports de Paris will be responsible for building the vertiport, the cost of which is estimated at €3,300,000 excluding VAT. RATP will provide assistance services free of charge, and will transfer to Aéroports de Paris, free of charge, all studies and documents it has already produced.
Justifications for these agreements: The reason given by the Board of Directors for this agreement is that it is in the interest of Aéroports de Paris to support the development of 100% carbon-free electric air mobility, and to encourage the growth of all associated uses, whether for logistics, medical or passenger transport.
Amendment no4 to the joint project management agreement signed on July 16, 2015 between Société du Grand Paris and Aéroports de Paris for the construction of a station at Paris-Orly airport to accommodate metro lines 14 and 18
Nature and scope: On July 16, 2015, SGP and Aéroports de Paris signed a joint project management agreement for the construction of a station at Paris-Orly airport to accommodate two metro lines and airport facilities. This agreement was authorized by the Board of Directors on June 17, 2015. The cost of the project financed by SGP was estimated at €178m (excl. VAT).
A first rider was signed on March 6, 2017, following authorization by the Board of Directors on February 22, 2017, bringing the total amount financed by SGP for the works to €195m excluding VAT (€132.8m excluding VAT for the station and €62.4m for the parking lot).
A rider no. 2 was signed on December 8, 2020, following authorization by the Board of Directors on June 24, 2020, bringing the total amount of financing by SGP for the works to 224 M€ excluding tax, in order to take into account program modifications and the postponement of the commissioning of line 18 decided by the Government on February 22, 2018.
An amendment no. 3 was signed on August 2, 2022 to increase the total amount of financing for the work by the SGP to €245 million excluding tax, and to allow Aéroports de Paris to pay for the additional costs incurred by the company in charge of the work as a result of program modifications requested by the SGP. As it has no direct impact on Aéroports de Paris, it has not been presented to the Board of Directors, but will be submitted for approval to the next General Meeting of Aéroports de Paris.
In view of SGP's requests for program modifications and additional costs resulting from additional missions, an amendment no. 4 modified the contract.
Terms: Amendment no. 4 was authorized by the Board of Directors at its meeting of October 11, 2023 and was signed by Aéroports de Paris on November 13, 2023. This rider sets additional remuneration for Aéroports de Paris due to changes in the program of work and schedule by SGP, as well as additional project management and prime contracting assignments. Aéroports de Paris' fees for work supervision have been increased to €34.6 million. The amount of work to be financed in full by SGP has been increased to €213.4 million. SGP has also introduced two incentive bonuses of €2 million each, to be paid if the station is handed over and brought into service on time.
Justifications for these agreements: The Board of Directors has justified this agreement by the fact that it is in the interest of Aéroports de Paris to develop the attractiveness of Paris-Orly airport, improve its access conditions and optimize airport development through the construction of the station, its connection to the terminals and the reconstruction of the parking spaces that have been eliminated, while benefiting from :
- reimbursement of construction costs by SGP,
- remuneration, by SGP, for the project management services provided by Aéroports de Paris,
- two bonuses of €2 million each if the work is completed on schedule.
Agreement for the transfer of existing and future buildings of the West wing and the central shaft of building 5720 and parking spaces attached to the building from Aéroports de Paris to the State
Nature and scope: Memorandum of Understanding for the purpose of setting out the conditions of:
- transfer to the State of part of building 5720 located at Paris-Charles de Gaulle and thirty parking spaces;
- exchange of land of approximately 1,135 sq.m. with full ownership including parking spaces and roads, with a balancing payment;
- formalisation of the transfer of ownership of the East wing, and adjacent premises and land;
- creation of rights of way for pedestrians, lanes for future means of public transport, and networks which will become part of assets belonging to Aéroports de Paris.
Terms: This memorandum was approved by the Board of Directors at its meeting of 18 December 2020 and was signed on 7 January 2021.
It sets the amount of the transfer of the West wing and the central shaft of building 5720 at €6,700,000, that of the transfer of the thirty parking spaces at €200,000 and that of the balancing payment at €300,000.
All of the contracts entered into pursuant to this memorandum of understanding were signed during 2021.
Justifications for these agreements: The signing of this memorandum is in Aéroports de Paris’ interest in order to withdraw from the initial “co-ownership” scheme of building 5720 between Aéroports de Paris and the State, to optimise the use of existing buildings while preserving future development capacities by preserving land that could be used for territorial/hotel development, and to avoid the transfer of undeveloped land to the State while meeting the latter's request to streamline its business outside airport terminals by housing all its staff in a single location.
Agreement on the temporary transfer of ownership and performance of works as part of the eastern bypass of Paris-Charles de Gaulle
Nature and scope: Agreement entered into with the State (Ministry of Ecological Transition, Île-de-France Regional and Interdepartmental Directorate for the Environment, Planning and Transport/Île-de-France Highways Department) intended to set out the conditions for financing and building the “B3” slip road of the Eastern access which provides the exit from Paris-Charles de Gaulle Airport to the future A104 and “B8” and “B9” slip roads of the Mesnil-Amelot minor interchange which respectively function as the airport’s entry and exit points. All of these works will become the property of Aéroports de Paris once they are completed.
Terms: This agreement wasapproved by the Board of Directors at its meeting of 13 October 2021 and was signed on 16 February 2022 by the State and on 17 November 2021 by Aéroports de Paris. It stipulates that Aéroports de Paris shall transfer its ownership authority for the construction of entry and exit works at Paris-Charles de Gaulle and their financing of €3,800,000 excluding tax. This agreement will end when all the works have been transferred to Aéroports de Paris’ assets.
Justifications for the agreement: This agreement is in Aéroports de Paris’ interest in order to benefit from the completion of works improving the conditions of access to Paris-Charles de Gaulle Airport, the ownership of which will be transferred to Aéroports de Paris.
Agreement on fee reductions granted by Aéroports de Paris for the use of Aéroports de Paris’ facilities by military aircraft
Nature and scope: Agreement entered into with the Ministry of the Armed Forces, the purpose of which is to set out the terms and conditions for calculating and collecting parking and landing fees for State aircraft that do not operate paid transport under the Ministry of the Armed Forces.
Terms: This agreement was approved by the Board of Directors at its meeting of 30 March 2022 and was signed on 3 June 2022. It sets out the reductions applied to landing and parking fees for aircraft of the Ministry of Defence using the airports managed by Aéroports de Paris. These reductions are 20% for Paris-Orly Airport, 35% for Paris Charles-de-Gaulle Airport, 50% for the general aviation aerodromes of Chavenay-Villepreux, Chelles-le-Pin, Coulommiers-Voisins, Etampes-Mondésir, Lognes-Émerainville, Meaux-Esbly, Persan-Beaumont, Pontoise-Cormeilles-en-Vexin, Saint-Cyr-l’Ecole and Toussus-le-Noble; no reduction for Paris-Le Bourget Airport.
Helicopters benefit from a 50% reduction rate on parking fees and landing fees and training flights, touch-and-go landings, touchdowns, and go-arounds, which benefit from a 50% reduction in the landing fee rate, from the first touchdown.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the fact that it meets a regulatory obligation which stipulates entering into agreements with the State that define a rate of reduction on the rates of these fees for the benefit of State aircraft carrying out unpaid missions. It also makes it possible to clarify the methods for collecting the fees due from the Ministry of the Armed Forces for the use of airport facilities by military aircraft.
Amendment no. 1 to the design-build contract for works entered into between Aéroports de Paris and the CDG Express Infrastructure Manager
Nature and scope: The purpose of the amendment is to amend the design-build contract signed on 8 February 2019 between Aéroports de Paris and the CDG Express Infrastructure Manager in order to take into account the consequences of the delay in the completion of the works, mainly with regard to the key dates of the project and the remuneration. It also takes into account the programme modifications requested by the rail operator (lowering of the platform at CDG 2, power sockets and water supply).
Terms: This amendment was approved by the Board of Directors at its meeting of 29 June 2022 and was signed on 13 October 2022. This amendment modifies the design-build contract in order to take into account the consequences of the delay in the completion of the CDG Express works, mainly with regard to the key dates of the project and the remuneration. It also takes into account the programme modifications requested by the rail operator (lowering of the platform at CDG 2, power sockets and water supply). This amendment increases the amount of the remuneration by €8,260,000 excluding tax to €212,810,000 excluding tax, i.e. an increase of €8,260,000 excluding tax.
Justifications for the agreement: This amendment is of interest as it enables the continuation of CDG Express, a major project for Aéroports de Paris.
Amendment to the constructor interface agreement entered into between Aéroports de Paris, the CDG Express Infrastructure Manager and SNCF Réseau
Scope: The purpose of the amendment is to amend the constructor interface agreement entered into with the CDG Express Infrastructure Manager and SNCF Réseau on 8 February 2019 in view of the State’s decision to postpone the commissioning of the line, initially scheduled for 30 November 2023, to 1 December 2025, notified on 2 July 2019 to the CDG Express Infrastructure Manager.
Terms: At its meeting of 29 June 2022, the Board of Directors approved this amendment signed on 13 October 2022 in order to take into account the consequences of the delay in the completion of the works without any change in the division of responsibilities between builders.
Justifications for the agreement: this amendment is of interest as it enables the continuation of CDG Express, a major project for Aéroports de Paris.
Amendment to the equity contributions agreement entered into between Aéroports de Paris, the State, SNCF Réseau, the Caisse des Dépôts et Consignations, the CDG Express Infrastructure Manager and BNP Paribas
Scope: The purpose of the amendment is to amend the equity contribution agreement entered into between Aéroports de Paris, the State, SNCF Réseau, the Caisse des Dépôts et Consignations, the CDG Express Infrastructure Manager and BNP Paribas on 21 February 2019 in view of the State’s decision to postpone the commissioning of the line, initially scheduled for 30 November 2023, to 1 December 2025, notified on 2 July 2019 to the CDG Express Infrastructure Manager.
Terms: At its meeting of 29 June 2022, the Board of Directors approved this amendment in order to take into account the consequences of the delay in the completion of the CDG Express works, mainly with regard to the key dates of the project and the remuneration. The purpose of this amendment is to adjust the commissioning date and the due date from the end of 2023 to the beginning of 2025.
Justifications for the agreement: This amendment is of interest as it enables the continuation of CDG Express, a major project for Aéroports de Paris.
Agreement entered into with the National School of Civil Aviation (ENAC), the purpose of which was to create the ENAC Foundation
(Person involved: Mr Marc Borel, Deputy Government Commissioner, Director)
Nature and scope: The purpose of this agreement entered into with ENAC and Airbus is to define the Articles of Association of the ENAC Foundation.
Terms: This agreement was approved by the Board of Directors at its meeting of 13 October 2021 and was signed on 15 September 2022 (association creation date). In particular, it provides that Aéroports de Paris shall pay a contribution of €500,000 to the association, i.e. €100,000 over 5 years.
Justifications for the agreement: This agreement enables Aéroports de Paris to be a co-founder of the Foundation and to benefit, by participating in this Foundation’s activities, from the provision of information and analyses, and visibility.
Agreement with the French Ministry of the Interior and Overseas Territories on the roll-out of pre-check-in kiosks for the European Union's entry/exit border control system
Subject matter and scope: The purpose of this agreement is to define the specific rights, duties and obligations of Aéroports de Paris and the State in the context of the installation, operation and financing of pre-check-in kiosks designed to collect the passenger data necessary to create individual EES “Entry/Exit System” files, as part of the European Union (EU) project to improve the effectiveness and efficiency of controls at EU borders.
Terms and conditions: This agreement was approved by the Board of Directors at its meeting on 21 October 2022 and was signed on 14 December 2022. It provides that the State will cover the investment costs of 319 kiosks installed at Paris-Charles de Gaulle and Paris-Orly, and Aéroports de Paris will contribute to the operating costs of these systems in the amount of €4,000 (including taxes) per kiosk per year, i.e. an annual total of €1,276,000, which may be revised after one year if the kiosks are operating satisfactorily, down to a minimum of €1,300 (including taxes) per kiosk. This agreement is for a period of four years, tacitly renewable for a similar period.
Justifications for the agreement: This agreement will allow Aéroports de Paris to benefit from a system that will improve the management of passenger flows, and consequently the quality of service, in the context of increasing border control formalities.
Agreement entered into with the French State relating to the advance granted to Aéroports de Paris for safety and security expenses
Nature and scope: Agreement entered into with the Directorate General for Civil Aviation (DGAC) and Agence France Trésor (AFT), whose purpose is to set out the conditions for payment by the State of an advance on the proceeds of the “security tax” for 2022.
Terms: This agreement was approved by the Board of Directors at its meeting on 29 June 2022 and was signed on 18 July 2022. It provides for the payment of an advance capped at €15,000,000 for 2022 to enable Aéroports de Paris to cover part of its safety and security expenses in light of the collapse of air traffic caused by Covid-19.
The deadline for repayment of the advance is 15 September 2032, in accordance with the terms and conditions set out in the agreement.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it offers the company in allowing it to comply with its obligations by ensuring revenue to cover the costs of the services it provides in the current context of air transport.
Agreement by the Ile-de-France Region to provide a grant to the urban air transport testing centre
Nature and scope: Agreement entered into with the Ile-de-France Region, whose purpose is to set out the conditions for payment by the Region to Aéroports de Paris of a grant to support the project to create a testing centre underpinning the development of urban air transport in Ile-de-France.
Terms: This agreement was approved by the Board of Directors at its meeting on 15 December 2021 and was signed on 13 January 2022. It provides for the payment of a grant up to a limit of €485,000.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it offers the company in allowing it to take advantage of a financial subsidy for the creation of a project that will contribute to the development of urban modes of air transport and improved access to airports.
Agreement on the provision of welcome services for certain French and foreign individuals entered into with the Ministry for Europe and Foreign Affairs
Nature and scope: Agreement entered into with the Ministry for Europe and Foreign Affairs for the purpose of determining the conditions under which Aéroports de Paris provides welcome and ancillary services for individuals designated by the Ministry in the welcome areas or VIP lounges at Paris-Charles de Gaulle and Paris-Orly airports.
Terms: This agreement was approved by the Board of Directors at its meeting of 17 February 2021 and was signed on 1 March 2021. It provides that the pricing applied is 30% lower, on average, than public rates.
Justifications for the agreement: The agreement allows ADP to comply with its obligations by setting fairly valued prices that cover the costs of the services.
Contract for the provision of welcome services for certain French and foreign individuals entered into with the office of the French President
Nature and scope: Agreement entered into with the office of the French President for the purpose of determining the conditions under which Aéroports de Paris provides welcome and ancillary services for individuals designated by the office of the President in the welcome areas or VIP lounges at Paris-Charles de Gaulle and Paris-Orly airports.
Terms: This agreement was approved by the Board of Directors at its meeting on 17 November 2021 and was signed on 29 November 2021. It provides that the pricing applied is 30% lower, on average, than public rates and that the maximum amount of the contract is €139,000 excluding tax for a period of one year.
Justifications for the agreement: The agreement allows ADP to comply with its obligations by setting fairly valued prices that cover the costs of the services.
Agreement relating to the financing and completion of a temporary roundabout as part of the Eastern Bypass of Paris-Charles de Gaulle Airport
Nature and scope: Agreement entered into with the State (Ile-de-France Regional and Interdepartmental Directorate of the Environment, Development and Transport / Ile-de-France Highways Department), whose purpose is to set out the conditions for financing and building a temporary roundabout for access to Paris-Charles de Gaulle airport.
Terms: This agreement was approved by the Board of Directors at its meeting on 23 June 2021 and was signed on 12 July 2021. It provides for the payment of a sum of €91,800 excluding tax by Aéroports de Paris to the Ile-de-France Regional and Interdepartmental Directorate of the Environment, Development and Transport / Ile-de-France Highways Department.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it offers the company in improving the quality of services and general conditions of access to the airport.
Advance agreement on safety and security expenses
Nature and scope: Agreement entered into with the Directorate General for Civil Aviation (DGAC) and Agence France Trésor (AFT), whose purpose is to set out the conditions for payment by the State of an advance on the proceeds of the “security tax” for 2021.
Terms: This agreement was approved by the Board of Directors at its meeting on 13 October 2021 and was signed on 15 November 2021. It provides for the payment of an advance capped at €118,938,791 for 2021 to enable Aéroports de Paris to cover part of its safety and security expenses in light of the collapse of air traffic caused by Covid-19.
The deadline for repayment of the advance is 15 September 2030, in accordance with the terms and conditions set out in the agreement.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it offers the company in allowing it to comply with its obligations by ensuring revenue to cover the costs of the services it provides in the current context of air transport.
Agreement on the implementation of the territorial revitalization obligation within the context of collective contractual termination (RCC) arrangements
Nature and scope: Agreement entered into with the General Delegation for Employment and Vocational Training (DGEFP), whose purpose is to set out Aéroports de Paris’ commitments under its territorial revitalization obligation pursuant to Articles L1233-84 et seq. of the French Labour Code and to determine the principles to be applied in the territories involved in the revitalization under RCC arrangements.
Terms: This agreement was approved by the Board of Directors at its meeting on 13 October 2021 and was signed on 28 December 2021. Notably, it provides that Aéroports de Paris will implement and finance revitalization actions in the amount of €304,844.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it offers the company in allowing it to comply with its statutory obligations in the context of measures to ensure the sustainability of the company.
Agreement entered into with the State relating to an advance on security expenses
Nature and scope: The purpose of the agreement is to define the terms and conditions of payment by the State to Aéroports de Paris of an advance granted for 2020 in the context of the collapse of air traffic caused by Covid-19 to enable Aéroports de Paris to cover part of its safety and security expenses.
Terms: The amount of this advance is capped at €121,754,888.
Justifications for the agreement: The agreement signed on 11 December 2020, which by omission was not subject to the prior authorisation of the Board of Directors, will be presented for approval to the General Meeting of 11 May 2021.
Supplementary agreement entered into with Royal Schiphol Group amending the contract entered into on 14 November 2008 between Aéroports de Paris and Royal Schiphol Group
Nature and scope: This agreement extends by one year the industrial cooperation agreement entered into between Aéroports de Paris and Royal Schiphol Group.
Terms: The agreement was approved by the Board of Directors at its meeting on 14 October 2020 and was signed on 10 November 2020.
Justifications for the agreement: The Board of Directors’ justification for this agreement was that it enabled Aéroports de Paris to benefit from the extension of the Hublink alliance.
Agreement entered into with the State (Ministry of the Interior) on the conditions for the provision of built or unbuilt buildings, private parking spaces and subscriptions to public car parks and airport flight tracking monitors
Nature and scope: This agreement sets out the financial conditions for the provision of services to the Ministry of the Interior, namely built or unbuilt buildings, private parking spaces and subscriptions to public car parks and airport flight tracking monitors.
Terms: The agreement was authorised by the Board of Directors at its meeting on 25 March 2020 and was signed on 18 November 2020, it being specified that the director representing the State did not take part in the vote and those proposed by the State and appointed by the General Meeting adopting the same position, did not take part in the vote. In particular, it provides for a 60% reduction on rents in the terminal buildings and 50% on rents outside the terminals (with identical reductions for parking spaces), the payment of 100% of charges by the State, an exemption from VAT on rents and property tax and the payment of the office tax in Ile-de-France.

Agreement entered into with Grand Paris Aménagement on cooperation and financing for work to construct two roundabouts between Rue du Sausset, the Paris-Charles de Gaulle airport southern ring-road, and RD88
Nature and scope: Agreement entered into with the Grand Paris Aménagement public corporation, whose purpose is to set out the conditions for the payment by Aéroports de Paris to the Grand Paris Aménagement public corporation of a financial contribution to the building of two roundabouts for easier access to the airport, one of which will later be incorporated into the assets of Aéroports de Paris.
Terms: This agreement was approved by the Board of Directors at its meeting on 25 March 2020 and was signed on 16 September 2020. It provides for the payment of a sum of €411,451 excluding tax by Aéroports de Paris to Grand Paris Aménagement and the transfer of a structure to the assets of Aéroports de Paris.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it provides in contributing to the smooth running of Aéroports de Paris through the construction of a structure that facilitates access to the airport and improves traffic flow and safety in the area.
Agreement entered into with the State (Ministry of Public Action and Accounts) on the conditions for the provision of built or unbuilt buildings, private parking spaces and subscriptions to public car parks and flight tracking monitors
Nature and scope: Agreement entered into with the State on the financial conditions for the provision of built or unbuilt buildings, private parking spaces and subscriptions to public car parks and airport flight tracking and building monitors.
Terms: This agreement was approved by the Board of Directors at its meeting on 25 March 2020 and was signed on 03 July 2020. In particular, it provides for a 60% reduction on rents in the terminal buildings and 50% on rents outside the terminals (with identical reductions for parking spaces), the payment of 100% of charges by the State, an exemption from VAT on rents and property tax and the payment of the office tax in Ile-de-France.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit it provides in contributing to the smooth running of the company Aéroports de Paris.
Agreement setting out the conditions for the acquisition and occupancy of land at Paris-Orly airport entered into with Société du Grand Paris, a public corporation owned by the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Agreement determining the conditions for transferring land and plots to Société du Grand Paris and occupancy of land by the latter as part of the work to extend line 14.
Terms: This agreement was approved by the Board of Directors at its meeting on 14 February 2019 and was signed on 27 February 2019 for a term of 10 years. The amount of compensation for Aéroports de Paris is €3,782,596 excluding tax.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris offered by the construction of line 14 to Paris-Orly and the compensation payable under the conditions set out by the Direction Nationale d’Intervention Domaniale (DNID – the French National Directorate of Estate Intervention).
Agreement on the assignment of land on the Saint-Cyr-l’Ecole airfield entered into with Grand Paris Aménagement, a public corporation owned by the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Agreement to transfer 4.2 hectares of land belonging to Aéroports de Paris on the Saint Cyr l’Ecole airfield to Grand Paris Aménagement as part of the creation of a joint development area (zone d’aménagement concerté – ZAC).
Terms: This agreement was approved by the Board of Directors at its meeting on 14 February 2019 and was signed on 19 April 2019. The transfer value is €3,300,000 excluding tax.
Justifications for the agreement: The Board of Directors justified this agreement in light of the benefit to Aéroports de Paris of contributing to combating the housing crisis and in benefiting from the improvement in access to its land with a view to creating a business park.
Agreement on the financing of the upgrade works on the A3 motorway upstream of access to Paris-Charles de Gaulle Airport entered into with the Ministry of the Environment, Energy and the Sea (agreement entered into with the State, which is the majority shareholder of Aéroports de Paris)
Nature and scope: Agreement entered into with the Ministry of the Environment, Energy and the Sea for the purpose of determining the financing conditions for the upgrade works on the A3 motorway upstream of access to Paris-Charles de Gaulle Airport.
Terms: This agreement was approved by the Board of Directors at its meeting on 14 February 2019 and was signed on 17 May 2019. It provides for a contribution from Aéroports de Paris of a sum of €150,000 excluding tax for work to improve access to Paris-Charles de Gaulle Airport.
Justifications for the agreement: The Board of Directors justified this agreement in light of the benefit to Aéroports de Paris of restoring the road serving Paris-Charles de Gaulle Airport as quickly as possible to allow safe access for its employees and those of airport businesses, and passengers.
Temporary transfer of programme management agreement entered into with the Ministry of Environmental and Sustainable Transition and the Ile-de-France Regional and Interdepartmental Equipment and Development Department / Ile-de-France Highways Agency (agreement entered into with the State, which is the majority shareholder of Aéroports de Paris)
Nature and scope: Agreement entered into with the Ministry of Environmental and Sustainable Transition and the Ile-de-France Regional and Interdepartmental Equipment and Development Department / Ile-de-France Highways Agency to finance work on civil engineering structures providing access to Paris-Charles de Gaulle Airport for the airport’s eastern bypass and to transfer ownership of these works to Aéroports de Paris.
Terms: This agreement was approved by the Board of Directors at its meeting of 27 March 2019 and was signed on 29 May 2019 for a sum of €9,000,000 excluding tax representing the acquisition of works by Aéroports de Paris.
Justifications for the agreement: The Board of Directors justified this agreement in light of the benefit to Aéroports de Paris from the completion of works improving the access conditions for the airport and taking them into ownership.
Framework cooperation agreement entered into with the Créteil, Versailles and Amiens education authorities (agreement entered into with the State, which is the majority shareholder of Aéroports de Paris)
Nature and scope: Partnership agreement between Aéroports de Paris and the local education authorities of Créteil, Versailles and Amiens with the aim of promoting training.
Terms: This agreement was approved by the Board of Directors at its meeting on 9 June 2019 and was signed on 1 July 2019 for a term of three (3) years.
Justifications for the agreement: The Board of Directors justified this agreement in light of the benefit to Aéroports de Paris, within the framework of its corporate social responsibility (CSR) policy, of being part of a programme to promote training aimed at local residents and of contributing to the establishment of positive solutions to offset the territorial impact of the development of Terminal 4 at Paris-Charles de Gaulle Airport.
Amendment no. 5 to the memorandum of understanding entered into with SNCF Réseau and the Caisse des Dépôts et Consignations, both public organisations owned by the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Amendment to a memorandum of understanding entered into between Aéroports de Paris, SNCF Réseau and the Caisse des Dépôts et Consignations on 17 February 2016, for the purpose of determining the conditions for financing the preliminary studies required for the CDG Express project.
Terms: This agreement was approved by the Board of Directors at its meeting on 25 July 2019 and was signed on 28 June 2019. The sum for pre-financing studies by Aéroports de Paris is €2,568,700 excluding tax.
Justifications for the agreement: The Board of Directors justified this agreement in light of the benefit to Aéroports de Paris of being reimbursed the pre-financed sums as part of the CDG Express project.
Sponsorship agreement relating to the provision of advertising facilities in the context of the Airport Startup Day event entered into with Média Aéroports de Paris, a company that shares an officer with Aéroports de Paris, namely Mr Augustin de Romanet, Chairman and Chief Executive Officer of Aéroports de Paris
Nature and scope: Agreement entered into with Média Aéroports de Paris establishing the terms for the provision of advertising facilities as part of the Airport Startup Day event.
Terms: This agreement was approved by the Board of Directors at its meeting on 19 June 2019 and was signed on 1 July 2019. It provides for the provision, free of charge (valued at €133,440 excluding tax), by Média Aéroports de Paris of its advertising facilities to promote Airport Startup Day.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris of the dissemination of its advertising campaign relating to the Airport Startup Day event, free of charge, on the advertising screens located within Paris-Orly and Paris-Charles de Gaulle airports operated by Média Aéroports de Paris.
Partnership agreement entered into with the public organisation Domaine national de Chambord, which shares a director with Aéroports de Paris, namely Mr Augustin de Romanet, Chairman and Chief Executive Officer of Aéroports de Paris
Nature and scope: Partnership agreement for the joint organisation of an exhibition of photographs to celebrate “500 years of the Château de Chambord” displayed on the network of canvases within Paris-Charles de Gaulle Airport.
Terms: This agreement was approved by the Board of Directors at its meeting of 20 May 2019 and was signed on 29 July 2019 for a term of two (2) years. The parties’ commitments are valued at €240,000 excluding tax for each party.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris of the provision of physical services (notably the assignment of rights, and ticketing) and visibility as a partner.
“Georges Guynemer Air Industries Training Centre in the Pays de Meaux” partnership agreement entered into with various companies, associations, local authorities and other entities including a State-owned public organisation and the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Partnership agreement setting out development activities for a training centre focusing on the aeronautics, airport and robotics industries in the economic basin of north-east Seine-et-Marne and the conditions for their implementation.
Terms: This agreement was approved by the Board of Directors at its meeting on 19 June 2019 and was signed on 16 July 2019 for a term of five (5) years.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris of being part of a partnership programme to boost employment in north-west Seine-et-Marne, increasing cooperation with the Pays de Meaux urban community, participating in the implementation of CSR policy and contributing to the establishment of positive solutions to offset the territorial impact of the development of Terminal 4 at Paris-Charles de Gaulle.
Sponsorship agreement benefiting the French army with a view to the creation of a “Security of the National Territory” chair entered into with the Ministry of Defence acting on behalf of the schools of Saint-Cyr-Coëtquidan and the army command centre for the national territory (agreement entered into with the State, which is the majority shareholder of Aéroports de Paris)
Nature and scope: Sponsorship agreement defining the terms under which Aéroports de Paris provides its support for the action by Saint-Cyr for the creation, development and operation of the “Security of the National Territory” chair. This sponsorship gives rise to the payment of a donation by Aéroports de Paris of a sum of €100,000.
Terms: This agreement was approved by the Board of Directors at its meeting on 25 July 2019 and was signed on 28 November 2019 for a one-year renewable term.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris of contributing to the creation of a chair, which includes the role of airports in high-level studies, being cited as sponsor on all media produced by the beneficiary and anticipating the place and role of airports in national security.
Mandate for the demolition of building 66 at Paris-Le Bourget airport for the purpose of the construction of line 17, entered into with Société du Grand Paris, a public corporation owned by the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Contract awarded by SGP to Aéroports de Paris to carry out the demolition of building 66 at Paris-Le Bourget Airport on its behalf for the purpose of constructing metro line 17.
Terms: This agreement was approved by the Board of Directors at its meeting on 16 October 2018 and was signed on 30 November 2018 by Aéroports de Paris; it was issued by SGP to Aéroports de Paris on 25 July 2019. The sum paid to Aéroports de Paris is €699,640 excluding tax.
Justifications for the agreement: The Board of Directors’ justification for the agreement is the benefit to Aéroports de Paris, on the one hand, of allowing the construction of line 17 to Paris-Le Bourget Airport, as this access represents a strategic issue in ensuring the development of its attractiveness and, on the other hand, in managing a complex demolition operation while obtaining a return on market terms for the latter.
Agreement on compensation for works and studies for the construction of metro line 18 entered into with Société du Grand Paris, a public corporation owned by the State, which is the majority shareholder of Aéroports de Paris
Nature and scope: Agreement defining the terms of the financial undertaking by SGP and of carrying out work and studies by ADP for SGP, work to divert networks, development work and studies, as well as site supervision, for the purpose of carrying out work to construct line 18.
Terms: This agreement was approved by the Board of Directors at its meeting on 12 December 2018 and was signed on 26 December 2019 by Aéroports de Paris. The sum paid to Aéroports de Paris is €2,065,835 excluding tax.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the commitment made by ADP to SGP regarding the timely completion of line 18; the incorporation of the works in question into complex airport structures; the necessity of the work not impacting on the smooth operation of the public airport service provided by ADP; and SGP’s commitment to funding the work.
Compensation agreement for services and works carried out by Aéroports de Paris for the extension of metro line 14 and on works carried out at Paris-Charles de Gaulle airport entered into with the RATP, a public organisation owned by the State and sharing two board members with Aéroports de Paris (Ms Solenne Lepage and Mr Augustin de Romanet)
Nature and scope: Agreement defining the terms for support and compensation from RATP for services provided and work carried out by ADP for RATP, either prior to work to extend line 14, or during construction work carried out by RATP on the metro and ancillary work at Paris-Charles de Gaulle Airport.
Terms: This agreement was approved by the Board of Directors at its meeting on 12 December 2018 and was signed on 26 December 2019 by Aéroports de Paris. The sum paid to Aéroports de Paris is €842,392 excluding tax.
Justifications for the agreement: The Board of Directors justified this agreement in light of the commitments made by ADP to SGP regarding the timely completion of metro lines 14 and 18; the incorporation of the works in question into complex airport structures; the necessity of the work not impacting on the smooth operation of the public airport service provided by ADP; and SGP’s commitment to funding the work.
Agreement entered into with the State (Ministry of Environmental and Sustainable Transition), the French Civil Aviation Authority (DGAC) and the French Air Navigation Services (DSNA) on the joint financing of an anti-drone technology demonstrator at Paris-Charles de Gaulle Airport
Nature and scope: Agreement entered into with the State establishing the terms for joint financing of an anti-drone technology demonstrator at Paris-Charles de Gaulle Airport by Aéroports de Paris and the State.
Terms: This agreement was approved by the Board of Directors at its meeting on 11 December 2019 and was signed on 12 December 2019. It provides for joint financing of a sum of €1,440,000 by Aéroports de Paris for the term of the contract concluded by the State for the anti-drone system.
Justifications for the agreement: The Board of Directors’ justification for this agreement is the benefit to Aéroports de Paris of accelerating protection of the Paris airport system and providing it with the most innovative anti-drone technology in terms of detection, identification and classification at a controlled cost.
